IMPORTANT NOTICE: THESE TERMS AND CONDITIONS CONTAIN A BINDING DISPUTE RESOLUTION AND ARBITRATION PROVISION INCLUDING CLASS ACTION WAIVER. PLEASE READ IT CAREFULLY BECAUSE IT AFFECTS YOUR LEGAL RIGHTS AS DETAILED IN THE BINDING DISPUTE RESOLUTION AND ARBITRATION; CLASS WAIVER SECTION BELOW. YOU MAY OPT OUT OF THE BINDING INDIVIDUAL ARBITRATION AND CLASS ACTION WAIVER AS PROVIDED BELOW. PLEASE READ THESE TERMS & CONDITIONS CAREFULLY. BY ACCESSING OR USING THIS APP AND PROMOTIONAL PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS & CONDITIONS DESCRIBED HEREIN AND ALL TERMS & CONDITIONS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO ALL OF THESE TERMS & CONDITIONS, DO NOT PARTICIPATE IN THIS PROGRAM.
These Terms & Conditions apply to your access to, and participation in, the Goodcents Rewards Program which is operated by Mr. Goodcents Franchise Systems, Inc., or its parent companies, subsidiaries, licensees and affiliated companies (collectively, “Goodcents”) in the fifty (50) United States of America (“Goodcents Rewards Program”). These Terms & Conditions do not alter in any way the terms or conditions of any other agreement you may have with Goodcents for products, services or otherwise. Goodcents reserves the right to change, modify and/or eliminate Goodcents Rewards Program and/or these Terms & Conditions or any policy, FAQ, or guideline pertaining to Goodcents Rewards Program at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting the revisions to https://goodcentssubs.com/rewards-tc/, and you waive any right you may have to receive specific notice of such changes or modifications. In addition, your sole and exclusive remedy if you do not agree to any such modifications is to withdraw from the Goodcents Rewards Program. Your continued use of the Goodcents App or participation in the Goodcents Rewards Program after any modification confirms your acceptance to the modifications.
Your participation in the Goodcents Rewards Program confirms your acceptance of these Terms & Conditions and any such changes or modifications; therefore, you should review these Terms & Conditions and applicable policies frequently to understand the terms and conditions that apply to the Goodcents Rewards Program. If you do not agree to the Terms & Conditions, you must stop participating in the Goodcents Rewards Program. This Program is void where prohibited or restricted by law. You may enroll in the Goodcents Rewards Program if you: (1) are a legal resident of the United States; (2) are at least 18 years of age at the time you enroll; (3) have an active, valid e-mail address; and (4) are a human being. No corporations, partnerships, limited liability companies, or other legal entities can participate in the Goodcents Rewards Program.
This Program is not targeted toward, nor intended for use by, anyone under the age of 18. If you are under the age of 18, or under the age of majority in your state of residence, you may not participate in Goodcents Rewards Program.
BY ACCEPTING THESE TERMS, AS DETAILED BELOW, YOU AGREE TO RESOLVE ANY DISPUTE WITH US ARISING OUT OF OR RELATED TO THESE TERMS THROUGH BINDING ARBITRATION OR SMALL CLAIMS DISPUTE PROCEDURES AND YOU AGREE TO WAIVE YOUR RIGHTS TO PARTICIPATE IN A CLASS ACTION SUIT.
Rewards and benefits
The benefits that are available to you through Goodcents Rewards Program are based on the number of “Points” that you earn. Rewards can be sent via Goodcents emails, push notifications, rich messages, SMS, or automatically added to Goodcents Rewards Program member account. Offers live in member rewards accounts and can be accessed via the App or by logging into your rewards account online. Members earn points by signing into rewards account on the App or online or by providing registered phone number at participating Goodcents locations when making purchases for dine-in, carry-out, delivery or online orders (excluding the purchase of gift cards) at participating Goodcents locations only. You will receive one (1) “Point” for each U.S. dollar spent, except during limited time promotions when Goodcents may offer “Bonus Points” on featured products and/or services. No partial Points will be earned for purchase amounts less than one (1) U.S. dollar, with $0.51 minimum check-in amount.
When you first sign up for Goodcents Rewards Program, you will receive a reward offer of 650 bonus points, redeemable at participating Goodcents locations (the “Introductory Reward”). Goodcents may also provide personalized reward offers through the Goodcents Rewards Program for Goodcents Rewards Program participants. One the first day of the month of your birthday (the birthday date of record that you provide to Goodcents in your Goodcents Rewards Program account), you will receive a FREE 8” Half Sub Reward to celebrate your birthday (not to be combined with other discounts or offers) (the “Birthday Reward”). The Birthday Reward will expire at the end of the month of your birthday. Limit 1 account per person, per device, per birthday, per email. Once the birthday is set, it cannot be changed. Other special reward offers may be distributed by email to you if you opt-in to receive promotional and marketing offers from Goodcents and provide a valid email and telephone number in order to receive your special offers. Special offers may include periodic discounts on food, beverages, and merchandise. Special offers may have certain restrictions including expiration dates. Special offers are personal to you and cannot be shared, copied or transferred. You will be required to use the Goodcents app in order to redeem special offers. Read each offer carefully for specific details, limitations and restrictions. Once you agree to redeem a reward by pressing the redemption button in the Goodcents Rewards Program, it must be used within the time limit and cannot be credited back to your account.
Points on multiple Goodcents Rewards Program accounts may not be combined. Your Rewards are not valid on the same transaction that earned the Points and are valid on the next visit only. Points expire after 365 days. By registering for a Goodcents Rewards Program account, you consent to receive system and transaction emails related to your participation in Goodcents Rewards Program, as set forth below.
Participating Goodcents locations may be independently owned and operated. For that reason, Goodcents make no guarantees, warranties or representations of any kind, express or implied, with respect to redemptions or the products supplied by such independently owned and operated locations, and shall not be liable for any loss, expense, accident or inconvenience that may arise in connection with the use of such items.
There are no membership fees associated with Goodcents Rewards Program. Points accumulated under the program are promotional and have no cash value. You do not have any ownership rights in accrued points and accrued points do not constitute your property. Your benefits, your profile page and your Goodcents Rewards Program account are personal to you and may not be sold, transferred or assigned to, or shared with family, friends or others. You may have only one Goodcents Rewards Program account. Your Goodcents Rewards Account may not include any fictitious, inaccurate or offensive information. Goodcents reserves the right to terminate your account and/or your participation in Goodcents Rewards Program if Goodcents determines in its sole discretion that you have violated these Terms & Conditions, you have more than one (1) account, or that the use of your account is unauthorized, fraudulent or otherwise unlawful.
Goodcents also reserves the right to “unregister” and make ineligible for the Goodcents Rewards Program any account that has been inactive for two (2) consecutive years. Inactive is defined as no new points earned. So long as the Goodcents Rewards Program account remains registered, accumulated points never expire except due to inactivity as set forth above.
Goodcents has the right at any time, with or without giving you prior notice, to:
- end or cancel the Goodcents Rewards Program and/or any specific Reward;
- change any Reward or other Goodcents Rewards Program benefit we offer;
- change the requirements for earning a particular Reward;
- change the time you have in which to earn a particular Reward; and/or
- change any other feature of the Goodcents Rewards Program.
Goodcents reserves the right to terminate, discontinue, modify or cancel the Goodcents Rewards Program at any time and in its sole discretion without notice to you. If you disagree with any modifications of the program, your sole recourse is to withdraw from the program.
If we end the Goodcents Rewards Program, Rewards you have earned but not used will expire on the end date, and you may not redeem any Rewards or use any credits after the end date.
Promotions and Offers
Promotion only available to Goodcents Rewards members. Offer valid to buy one item, get a second item for free as specified in the promotion. Discount applies to item of equal or lesser value. Limited one per account, one per transaction, and cannot be combined with other discounts, offers or promotions. Redeemable at participating restaurants in-store, online or in app once offer is deposited into account. Other exclusions, such as upcharges, and limitations, such as specified menu item, may apply. No cash value. Void if altered, transferred, reproduced, exchanged, sold, purchased, or where restricted by law. Terms and Conditions above apply.
Sign Up Bonus Offers
Offer valid for new Goodcents Rewards sign ups during specified promotional date range. Must not have been a member prior to the promotional date range. Offer will deposit in Goodcents Rewards section upon sign up. Offer valid online, in-app or in-store. Limited to one per guest per transaction. Cannot be combined with other offers, discounts or promotions.
Referral Bonus Offers
Valid for specified promotional date range for Goodcents Rewards Members who make a qualifying referral. A qualifying referral requires the referree to be a new Goodcents Rewards member who signs up using the referrer’s unique referral code located in their Goodcents Rewards account information. Additionally, the referree must makes their first purchase within the promotional date range for either party to qualify for the referral bonus.
When you visit the App or send e-mails to us, you are communicating with us electronically. By using the App and participating in the Goodcents Rewards Program, you consent to receive communications from us electronically, including targeted emails, surveys, promotional offers and for other general business purposes. We will communicate with you by e-mail, push notification or by posting notices on the App. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in these Terms and Conditions. We reserve the right to send you emails for administrative purposes even if you opt out of these communications.
If you provide us your mobile number and sign-up to receive Program-related SMS messages from us, you are expressly consenting to receive via auto dialing equipment text messages from us to the mobile number you provided when you created an Account. You understand and affirm that your consent is optional, and you are not required to consent to receive SMS messages from us to participate in the Program. Message and data rates may apply for any text messages sent to you from us and to us from you. Neither Goodcents nor carriers are liable for delayed or undelivered messages. For questions about text message rates and costs, you should contact your mobile service provider. The number of text messages we send you will depend on your purchases through and participation in the Program. You may opt-out of SMS messages from us at any time by replying “STOP” or “CANCEL” to any text message we have sent. You may text “HELP” for help at any time. For additional support, please use the Contact Us link on the Website. You may also update your message preferences in the App. We may send you a final text to confirm your opt-out.
THIS APP, THE CONTENT, AND THE GOODCENTS REWARDS PROGRAMS ARE PROVIDED ON AN “AS IS”, AND “AS AVAILABLE” BASIS, AND GOODCENTS HEREBY EXPRESSLY DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, GOODCENTS DOES NOT GUARANTEE THAT THE APP OR CONTENT WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.
Limitations of liability
PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH GOODCENTS AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION OF THIS AGREEMENT SHALL BE REFERRED TO AS THE “ARBITRATION AGREEMENT”.
ARBITRATION. YOU AND WE EACH AGREE THAT ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, OR THE BREACH THEREOF, INCLUDING ANY QUESTIONS OF ARBITRABILITY (“DISPUTE”), SHALL BE SETTLED BY ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (“AAA”) IN ACCORDANCE WITH ITS CONSUMER ARBITRATION RULES BY A SOLE ARBITRATOR. You and we each also agree that this Arbitration Agreement affects interstate commerce so that the Federal Arbitration Act and federal arbitration law, not state law, apply and govern any questions regarding the enforceability of this dispute resolution provision, including all questions of arbitrability (despite the general choice of law provision set forth below). THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. THE ARBITRATOR MUST FOLLOW THIS ARBITRATION AGREEMENT AND CAN AWARD THE SAME DAMAGES AND RELIEF AS A COURT (INCLUDING ATTORNEYS’ FEES).
For any Dispute, you must first give us an opportunity to resolve your claim by sending a written description of your claim to Goodcents, ATTN: Legal Department, 8997 Commerce Dr., De Soto, KS 66018. You and we each agree to negotiate your claim in good faith for a sixty-day period. You further agree that you may not commence any arbitration or court proceeding unless you and we are unable to resolve the claim within 60 days after we receive your claim description and you have made a good faith effort to resolve your claim directly with us during that time.
If we are unable to resolve your claim within 60 days despite those good faith efforts, then either you or we may start arbitration or small claims court proceedings. To begin arbitration, you must send a letter requesting arbitration and describing your claim to the following address: Goodcents, ATTN: Legal Department, 8997 Commerce Dr., De Soto, KS 66018 and to the AAA. The arbitration of all disputes will be administered by the AAA under its Consumer Arbitration Rules in effect at the time the arbitration is commenced, except to the extent any of those rules conflict with our agreement in these Terms, in which case these Terms will govern. The AAA rules are available at www.adr.org. If the claims asserted in any request or demand for arbitration could have been brought in small claims court, then either you or we may elect to have the claims heard in small claims court, rather than in arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing. Upon filing of the arbitration demand, we will pay or reimburse all filing, administration, and arbitrator fees. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief and attorneys’ fees.
WAIVER OF CLASS OR CONSOLIDATED ACTIONS (“CLASS ACTION WAIVER”). YOU AND WE EACH AGREE THAT YOU MAY ONLY BRING CLAIMS IN YOUR INDIVIDUAL CAPACITY ON YOUR OWN BEHALF, AND NOT IN ANY REPRESENTATIVE CAPACITY OR ON BEHALF OF ANY CLASS OR PURPORTED CLASS, AND NO PROCEEDINGS COMMENCED HEREUNDER MAY BE JOINED WITH OR INCLUDE ANY OTHER PARTIES, OR CLAIMS BY OTHER PARTIES (WHETHER REPRESENTATIVE, MASS, PRIVATE ATTORNEY GENERAL, OR CONSOLIDATED ACTION). Each party agrees that this limitation includes, but is not limited to, precluding each party from pursuing any claim for public injunctive relief, whether in arbitration or court. If we believe that any claim you have filed is inconsistent with this limitation, then you agree that we may seek an order from a court determining whether your claim is within the scope of this class action waiver.
If a court or arbitrator determines in an action between you and us that any part of this Dispute Resolution provision cannot be enforced, the rest of this Dispute Resolution provision will continue to apply; provided, however, that if the Class Action Waiver is declared to be unenforceable or invalid, this entire Dispute Resolution provision (other than this sentence) will not apply to that claim (but will still apply to any and all other claims that you or we may assert in that or any other action).
General Restrictions. Goodcents shall be the sole arbiter in cases of suspected abuse, fraud, or violation of its Terms and any decision it makes relating to termination, suspension, or other disabling of the Program or a Member’s Goodcents Rewards account (including, but not limited to, cancellation or suspension of Points, Rewards, Member Benefits and Guest Offers) shall be final and binding. Should you object to any of these Terms, or any subsequent modifications thereto, or become dissatisfied with the Program, your sole remedy is to discontinue participation in the Program and properly cancel your account in the manner provided above. These Terms shall be governed by the laws of the State of Kansas, U.S.A., without regard to conflict of laws provisions or principles.

All or any of Goodcents rights and obligations hereunder may be assigned to a subsequent owner or operator of this App in a merger, acquisition or sale of all or substantially all of Goodcents assets. If, for any reason, a court of competent jurisdiction finally determines any provision of these Terms and Conditions or any portion thereof to be unenforceable, such provision will be enforced to the maximum extent permissible so as to give the intended effect thereof, and the remainder of these Terms and Conditions will continue in full force and effect. Goodcents failure to act with respect to a breach by you or others does not waive Goodcents right to act with respect to that breach or subsequent or similar breaches.
These Terms and Conditions, and all Terms and Conditions incorporated herein by reference, represent the entire agreement between you and Goodcents with respect to the Goodcents Rewards Program or any program benefits. The Terms and Conditions may not be modified except by publication of modified Terms and Conditions by Goodcents on this terms and conditions page.
